User Responsibilities

Users assume obligations to provide complete, accurate, and up-to-date information necessary for the effective provision of services, actively collaborate in project execution by assigning competent personnel and adequate resources, implement recommendations in accordance with scientific best practices, maintain confidentiality of proprietary methodologies and tools, and comply with established payment terms and contractual conditions.

Limitations of Liability and Scope

Consultative Nature of Services: Our services constitute specialized technical advice based on scientific knowledge and industry best practices. We do not guarantee specific results or assume liability for business or technical decisions made based on our recommendations, since external variables and specific organizational factors can significantly influence final outcomes.

Exclusion of Indirect Liability: BADOLIA DISEÑOS S.A. DE C.V. will not be responsible under any circumstances for indirect damages, loss of business opportunity, interruption of production processes, loss of data not attributable to our systems, or consequential damages that exceed the direct control of our professional services.

FINANCIAL STRUCTURE AND COMMERCIAL CONDITIONS

Differentiated Billing Models

Project Services: We quote specific projects through a detailed analysis of scope, technical complexity, required resources, and execution timeline. Billing is structured by delivery milestones with tiered payments that reflect the incremental value generated at each phase of the project.

Scientific Consulting Retainer: For organizations that require ongoing access to technical expertise, we offer monthly retainer models that guarantee priority consultant availability, preferential access to new tools, and preferential pricing on additional projects.

JURISDICTION AND APPLICABLE LAW

These terms are interpreted exclusively in accordance with Mexican federal law, particularly the Federal Civil Code, the Federal Consumer Protection Law, and the Commercial Code. The parties expressly submit to the federal courts of Mexico City for non-arbitrable disputes.

CONTRACTUAL EVOLUTION

Modifications and Updates

We review these terms annually to incorporate technological developments, changes in industry best practices, regulatory updates, and user feedback on clarity and practical applicability. Substantial modifications require 45 days' notice and a 15-day comment period.
